Registered Client End User License Agreement

Welcome to the Subtraid service platform (the "Service"), provided by Subtraid Inc. ("Subtraid", "we", "us").
This End User License Agreement ("EULA") is a legal agreement between you ("you", "Registered Client") and Subtraid. By clicking "I Accept" or by accessing or using the Service, you agree to be bound by the terms of this EULA.
IF YOU DO NOT AGREE TO THESE TERMS, DO NOT CLICK "I ACCEPT" AND DO NOT ACCESS OR USE THE SERVICE.
You must be at least 18 years old to use the Service. By agreeing to this EULA, you represent and warrant that you are at least 18 years old.
1. Key Terms
"Service": Means the software platform and services provided by Subtraid, which you have been invited to use.
"Subscriber": Means the organization (for example, a brokerage) that has a customer agreement with Subtraid and has invited you to use the Service.
"Content": Means any information, data, or documents you upload, post, or submit to the Service.
2. Relationship and Responsibilities
You acknowledge and agree to the following:
Relationship with Subscriber: Your primary business relationship is with the Subscriber who invited you to the Service. The Subscriber is responsible for managing your access, providing any necessary support, and for the business processes related to your use of the Service.
Relationship with Subtraid: Subtraid provides the technology platform that enables the Service. We grant you a limited, non-exclusive, non-transferable license to access and use the Service for its intended purpose, as invited by the Subscriber, and only as long as this EULA and the Subscriber's agreement with Subtraid remain in effect.
Subtraid Ownership: You acknowledge and agree that Subtraid owns all right, title, and interest in and to the Service, including all intellectual property rights. Except for the limited license granted in this EULA, no other rights or licenses are granted to you.
3. Acceptable Use Policy
You agree that you will not:
Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service, or access to the Service, without the express written permission from Subtraid.
Modify, reverse engineer, decompile, adapt, or otherwise tamper with the Service or attempt to gain unauthorized access to the Service or its related systems.
Use the Service in any manner that is unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene, or in violation of any party's intellectual property rights or this EULA.
Knowingly use the Service to upload, post, host, or transmit unsolicited bulk email ("Spam"), viruses, worms, or any code of a destructive or malicious nature.
4. Your Content & Privacy
Your Ownership: You retain all ownership rights to the Content you upload to the Service.
Our License to Your Content: To allow us to operate the Service, you grant Subtraid a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, and display your Content, but only as necessary to provide the Service to you and the Subscriber.
Privacy: Our collection and use of your personal information is governed by our Privacy Policy, which is available at:

and which you agree to by accepting this EULA.
5. Disclaimer of Warranties
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. SUBTRAID HEREBY DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
SUBTRAID MAKES NO WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. NOR DOES SUBTRAID MAKE ANY WARRANTY AS TO ANY RESULTS THAT MAY BE OBTAINED FROM THE USE OF THE SERVICE.
6. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL SUBTRAID, ITS AFFILIATES, OFFICERS, OR EMPLOYEES BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, LOSS OF PROFITS, DATA, OR GOODWILL) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF, OR INABILITY TO USE, THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF SUBTRAID HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
SUBTRAID'S TOTAL CUMULATIVE LIABILITY TO YOU ARISING FROM THIS EULA OR THE SERVICE SHALL NOT EXCEED ONE HUNDRED DOLLARS ($100.00 CAD).
7. Termination
Termination by Subscriber: The Subscriber who invited you may terminate or suspend your access to the Service at any time, for any reason.
Termination by Subtraid: Subtraid reserves the right to suspend or terminate your access to the Service immediately, without notice, if you violate any term of this EULA.
Effect of Termination: Upon termination, your license to use the Service will cease. We are not responsible for returning any of your Content upon termination. Data retention and deletion will be governed by our agreement with the Subscriber.
8. Modifications and Amendments
Modifications to the Service: Subtraid reserves the right at any time, and from time to time, to modify or discontinue, temporarily or permanently, any feature or part of the Service with or without notice. You agree that Subtraid shall not be liable to you or to any third party for any modification, suspension, or discontinuance of the Service.
Amendments to this EULA: Subtraid reserves the right to amend this EULA at any time. We will notify you of any material changes by posting the new EULA within the Service or by other reasonable means. Your continued use of the Service after such notice constitutes your acceptance of the amended EULA.
9. General Provisions
This EULA constitutes the entire agreement between you and Subtraid regarding your use of the Service as a Registered Client. This EULA shall be governed by the laws of the province of Ontario, Canada, without regard to its conflict of law provisions. All disputes under this EULA will be resolved by the courts of Ontario in Toronto.
The Service is intended for users located in North America. Subtraid makes no representation that the Service is appropriate or available for use outside of North America. If you choose to use or access the Service from outside of North America, you do so at your own risk and are responsible for complying with all applicable local laws.
